When opening an sp. z o.o. in Poland, there can be an unlimited number of founders — technically, from 1 to 500. There are no legal restrictions or prohibitive laws. However, in practice, the situation is different.
We do not recommend having just one person in the board of directors due to a number of limitations and the high cost of maintaining the company. Let’s go over a few of the most important downsides:
- The mandatory social insurance ZUS of 1600 PLN per month, which cannot be reduced if there is only one member in the board.
- The inability to issue or sign certain documents for oneself. Every document or contract needs to be notarized, which adds extra time and cost.
