It is also important to fulfill obligations related to employees and company assets to complete the liquidation process.

Reorganization

The third way is reorganization. This option is used when a company changes its format, for example by merging with another company or changing its structure. Reorganization can be a good alternative to closing if you want to continue operating but in a different form.

Detailed Liquidation Procedure

To liquidate a company in Poland, you must follow a specific procedure. First, you make an agreement on cooperation, stating your decision to liquidate the company. Then you make changes in the national registry. After that, the process of settling debts and closing all matters begins.

Before starting liquidation, it is important to appoint people responsible for the procedures. These can be board members or separate specialists—lawyers or liquidation experts. If no one is appointed, the board members bear the responsibility.

You will need to draft a purchase-sale agreement, update new addresses and owner data, then submit documents to the registry.

This process usually takes about four weeks. It is important for the buyer to receive all necessary information about the company to make it more attractive. This will allow you to get a better price, which is a nice bonus.
